Terms of Service

These Terms of Service (Terms) govern access to and use of the Benchconnect website and platform operated by Bench Connect Limited, company number 17051953 (we, us or our). By creating an account or using the platform, you agree to these Terms on behalf of the company you represent.

1. Who we are

Benchconnect is an anonymous marketplace that enables tech consultancies to lend employed bench engineers and borrow specialists from other consultancies. We provide the technology, workflow, and payment rails that support those relationships. We are not the employer of listed candidates and we are not a party to the underlying secondment or services agreement between lender and borrower, except where we expressly say otherwise.

2. Eligibility and accounts

  • The platform is for businesses. You must be authorised to bind the company you register.
  • You must provide accurate company and contact details and keep them up to date.
  • You are responsible for safeguarding login credentials and for activity under your account.
  • We may suspend or refuse accounts that fail verification, legal-document review, or our quality checks.

3. Marketplace use

  • Lender profiles must describe real, currently employed candidates and remain anonymised as required by the platform.
  • Borrowers must use candidate information only for evaluating and managing engagements arranged through Benchconnect.
  • Interview scheduling, hire requests, timesheets, and close-out must run through the platform so engagements remain auditable.
  • You must not attempt to circumvent platform fees, identity controls, or legal-document gates.

4. Fees and payments

Platform fees (including the stated application fee on marketplace charges) and subscription charges, where applicable, are shown in-product or in your commercial agreement with us. Payments between borrower and lender for approved timesheet periods are processed via Stripe Connect destination charges. You authorise us to instruct Stripe accordingly and to deduct our platform fee.

You are responsible for taxes applicable to your business. Amounts shown on the platform are in the currency configured for the marketplace unless stated otherwise.

6. Acceptable use

  • Do not upload unlawful, misleading, or infringing content.
  • Do not scrape, reverse engineer, or disrupt the platform.
  • Do not use the platform to solicit off-platform dealings that evade fees or anonymity controls.
  • Do not share another party’s confidential information obtained through the platform outside permitted engagement use.

7. Intellectual property

We own or licence the Benchconnect brand, software, and platform content (excluding your company materials and candidate materials you upload). You grant us a non-exclusive licence to host and process your uploaded materials solely to operate the marketplace and related services.

8. Disclaimers and liability

The platform is provided on an “as is” and “as available” basis. We do not warrant that listings, AI extractions profile content, interview outcomes, or engagements will meet your requirements. To the fullest extent permitted by law, we exclude liability for indirect or consequential loss, and our aggregate liability arising out of these Terms is limited to the greater of (a) the platform fees you paid us in the three months before the claim and (b) £1,000. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be limited by law.

9. Suspension and termination

You may stop using the platform at any time. We may suspend or terminate access where you breach these Terms, fail compliance checks, create risk to other users, or where we discontinue the service. Provisions that by nature should survive (including fees owed, confidentiality, and liability limits) continue after termination.

10. Changes

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by notice in-product or by email. Continued use after changes take effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.
